These Terms and Conditions ("Terms") govern your use of Invoice Africa (Easy-Accounting) ("the Service"), an invoicing and accounting platform operated by Black Bar Technologies ("we", "our", "us"). By completing the sign-up process — which includes ticking the acceptance box, confirming your email address, and where applicable paying your subscription — you enter into a legally binding agreement with us. In accordance with the Electronic Communications and Transactions Act 25 of 2002 (ECTA), your electronic acceptance has the same legal effect as a written signature.
If you register on behalf of an organisation, you confirm that you are authorised to bind that organisation, and “you” and “your” in these Terms mean that organisation.
“Account” means the company workspace created at sign-up; “Customer” means the organisation or individual subscribing to the Service; “Module” means a feature group of the Service (for example invoicing, quotations, payroll or outreach) made available on a subscription; “User” means any person given access to an Account; “Content” means data you load into the Service; “POPIA” means the Protection of Personal Information Act 4 of 2013; “CPA” means the Consumer Protection Act 68 of 2008; “PayFast” means the payment processor we use for subscriptions.
We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business purposes during the subscription term. You agree that you will not:
You must provide accurate and complete information when creating your Account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that happens under your Account. Tell us immediately at info@blackbartechnologies.co.za if you suspect unauthorised use. We may suspend an Account where we reasonably believe it has been compromised or is being misused, and we will notify you promptly.
5.1 The Service is provided on a subscription basis. The applicable fees for each Module, and any one-off amounts, are shown at sign-up and on the pricing page, and are payable in advance in South African Rand. Subscriptions are billed through PayFast by card, instant EFT or other available methods.
5.2 Where a Module has a monthly per-user or per-employee component, the fee is calculated from the number of active records in your Account at the start of each billing period and may vary as your usage changes.
5.3 We may change fees on 30 days’ written notice. Continued use after the change takes effect constitutes acceptance of the new fee.
5.4 Fees are generally non-refundable except where required by law (including the CPA). If payment is 7 or more days late, we may suspend the Account after written notice until payment is received. Suspension does not cancel the subscription.
5.5 You may cancel at any time by contacting support; cancellation takes effect at the end of the current paid period. For 30 days after cancellation you may export your Content; after that it is securely deleted as described in our Privacy Policy.
6.1 You own your Content. Between you and us, you are the responsible party under POPIA for the personal information you load into the Service (for example your clients’ details and invoices), and we process it as your operator on your documented instructions. We will not use your Content for any purpose other than providing the Service to you, except as required by law.
6.2 You confirm that you have the lawful basis required by POPIA to process the personal information you load into the Service, and that your loading and use of that information does not infringe any law or third-party rights. You will remain responsible for your obligations to your own clients and employees under POPIA and applicable labour and tax law.
6.3 We implement appropriate technical and organisational measures to protect Content, including encryption in transit and at rest, access controls and audit logging. In the event of a breach affecting your data, we will notify you without undue delay in line with section 22 of POPIA.
6.4 On termination we will, at your election and within 30 days, return an export of your Content or delete it securely, subject to legal retention obligations.
Where you use the payroll module, we provide calculation tools based on published tax parameters, including PAYE, UIF and SDL. You remain responsible for verifying final amounts, paying your employees, and submitting declarations and returns to SARS (including EMP201, EMP501 and IRP5) on time, and for compliance with the Tax Administration Act 28 of 2011 and all labour legislation. Payroll figures are provided on a best-efforts basis; you should review outputs against the current statutory tables before making payment.
We (and our licensors) own all rights in the Service, including its software, design, trademarks and content. You own your Content. We may use anonymised, aggregated usage data to improve the Service, provided it cannot identify you or your customers.
We aim to keep the Service available 99.5% of the time in each calendar month, excluding scheduled maintenance announced at least 48 hours in advance and events beyond our reasonable control (including failures of third-party networks or power). Support requests receive a first response within one business day.
We warrant that we will provide the Service with reasonable care and skill. To the fullest extent permitted by law, the Service is otherwise provided “as is” and we give no other warranties, whether express, implied or statutory, including implied warranties of fitness for a particular purpose. We do not warrant that the Service will be error-free or uninterrupted, and we are not responsible for the accuracy of statutory calculations or for decisions you make using reports generated by the Service. Nothing in these Terms limits any right you have under the CPA that cannot be limited by law.
To the fullest extent permitted by law, our total liability arising out of or in connection with these Terms or the Service, whether in contract, delict or otherwise, is limited to the fees you paid us in the three (3) months preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, goodwill or data. Nothing in this clause limits liability for fraud, gross negligence, or anything that cannot be limited by law.
You indemnify us against claims, damages and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your Content, except to the extent caused by our own negligence or breach.
These Terms apply from acceptance and continue while your Account is active. You may close your Account at any time. We may terminate or suspend access immediately if you materially breach these Terms (including non-payment after notice, fraud or unlawful use) or if we are required to do so by law. On termination, sections dealing with data return and deletion, intellectual property, limitation of liability, indemnity and governing law survive.
We may update these Terms from time to time. If a change is material, we will give you at least 30 days’ notice by email or in the application. Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Republic of South Africa. We will try to resolve any dispute amicably first. If we cannot, either party may approach the courts of South Africa, or the relevant alternative dispute resolution forum available under the CPA for consumers. Nothing prevents you from lodging a complaint with the Information Regulator about how we process personal information.
